These Terms & Conditions ("Terms") govern your access to CultureVault and your purchase of licences to instrumentals ("Beats") from Firuz Al Amin Gafarullah, professionally known as "Romen" and trading as CultureVault ("we", "us", "Licensor"). By opening a preview link, playing a Beat or completing a purchase you agree to these Terms.
1. DEFINITIONS
"Beat" means an instrumental musical work and its sound recording offered on CultureVault. "Licence" means the limited right to use a Beat granted by the Lease Agreement and the Usage Terms for the file type you buy (MP3, WAV or Stems). "Licensee" means the person named on the Lease Agreement. "Private Link" means a unique preview link issued to a named recipient.
2. PRIVATE PREVIEWS AND ACCESS LINKS
Private Links are issued to a specific recipient and are not transferable. Each visit, play, checkout and download made through a Private Link is recorded against that recipient together with the IP address and device information. You must not share a Private Link, and you must not record, rip, capture, copy or redistribute any preview. We may disable a Private Link at any time.
3. WHAT YOU ARE BUYING
A purchase gives you a Licence to use the Beat on the terms of the Lease Agreement. It does not transfer ownership of the Beat, the underlying composition or the sound recording. Each purchase covers one file type only; buying MP3 does not include WAV or Stems.
4. PRICES AND PAYMENT
All prices are in Indian Rupees (INR) and are shown before you pay. Payments are processed by Razorpay; we do not see or store your card or bank details. A Licence becomes active only when your payment is confirmed. We may refuse or cancel an order where payment is not received, where the information you provide is false, or where we suspect fraud or misuse.
5. YOUR INFORMATION
You must give your correct full legal name, artist name and a working email address. The legal name you enter is printed on your Lease Agreement and receipt. You are responsible for the accuracy of this information.
6. DELIVERY
Digital files are delivered through personal download links shown after payment and sent to your email, together with your receipt and Lease Agreement. Links are unique to you, include only the file type you purchased and have a limited number of downloads. Keep them private.
7. ACCEPTABLE USE
You must not: (a) use a Beat outside your Licence; (b) resell, sub-license, lend or give away a Beat or a download link; (c) register a Beat with any content identification or rights-management system unless your Usage Terms allow it; (d) use a Beat to train or fine-tune any machine-learning model; (e) attempt to bypass any technical protection, access control or logging on the service; or (f) use the service unlawfully.
8. INTELLECTUAL PROPERTY
All rights in the Beats, artwork, trademarks and the CultureVault service remain with the Licensor. See the Copyright Notice.
9. WARRANTIES AND DISCLAIMER
We warrant that we have the right to grant the Licence. Except for that warranty, the service and Beats are provided "as is", without any other warranty, express or implied, including fitness for a particular purpose or uninterrupted availability.
10. LIMITATION OF LIABILITY
To the fullest extent permitted by law, our total liability arising out of or relating to a purchase is limited to the amount you paid for that purchase. We are not liable for indirect, incidental or consequential loss, or for loss of profit or reputation.
11. INDEMNITY
You agree to indemnify us against claims, losses and reasonable costs arising from your use of a Beat outside your Licence, from content you add to a Beat, or from your breach of these Terms.
12. SUSPENSION AND TERMINATION
If you breach these Terms or the Lease Agreement we may disable your links, terminate your Licence without refund, request removal of infringing content and pursue remedies available under law.
13. CHANGES
We may update these Terms. The version you accepted at checkout is recorded with your order and continues to apply to that purchase.
14. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of India. We will first try to resolve any dispute in good faith. Failing that, the courts of competent jurisdiction in India have exclusive jurisdiction.
